Uni-Select receives court approval for plan of arrangement with LKQ Corporation

Earlier this year on Feb. 27, LKQ Corporation announced plans to acquire Uni-Select Inc.

BOUCHERVILLE — Uni-Select Inc. announces that the Superior Court of Québec has issued a final order approving the previously announced plan of arrangement under the provisions of the Québec Business Corporations Act involving Uni-Select, LKQ Corporation and 9485-4692 Québec Inc., a wholly-owned subsidiary of LKQ Corporation.

The arrangement remains subject to certain closing conditions, including the receipt of applicable regulatory approvals, consisting of approval under the Competition Act (Canada) and the Investment Canada Act, clearance under the U.S. Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, and clearance by the U.K. Competition and Markets Authority. If the necessary approvals are obtained and the other conditions to closing are satisfied or waived, it is anticipated that the arrangement will be completed in the second half of 2023.

Uni-Select is a distributor of automotive refinish and industrial coatings and related products in North America, and involved in the automotive aftermarket parts business in Canada and in the U.K.

Earlier this year on Feb. 27, LKQ Corporation announced plans to acquire Uni-Select Inc.
